We would like to express our deepest gratitude to all shareholders who have consistently placed their trust in Celltrion’s vision and growth.
The company and its management deeply empathize with the concerns and frustrations our shareholders may be experiencing due to recent stock price movements and heightened market volatility. Accordingly, Celltrion is committed to implementing a more transparent and predictable shareholder return policy to ensure that the achievements of our growth translate into enhanced corporate value and tangible returns for our shareholders.
Celltrion has set its mid-to-long-term shareholder return target at one-third (approx. 33.3%) of consolidated net profit. Going forward, we plan to allocate approximately one-third of our net profit for each fiscal year toward shareholder returns through cash dividends and share repurchases and cancellations. We will determine the optimal combination of cash dividends and share buybacks/cancellations by comprehensively considering annual stock price levels, market conditions, financial structure, and cash flow.
When the stock is deemed significantly undervalued relative to the company’s intrinsic value, we will actively utilize share repurchases and cancellations to reduce the number of circulating shares and enhance value per share. When stable, direct shareholder returns are deemed more effective, we will share the fruits of our growth with shareholders through cash dividends.
The specific scale and allocation between cash dividends and share repurchases/cancellations for each year will be finalized following the confirmation of the respective fiscal year-end financial results. Subsequently, all relevant details will be disclosed promptly and transparently following the necessary corporate procedures, including board and general shareholder meeting resolutions.
This shareholder return policy is not a one-off initiative, but rather an enduring management principle aimed at driving both company growth and shareholder value enhancement simultaneously. Management remains fully committed to building market trust through responsible performance growth and consistent shareholder return policies, ensuring that the company’s intrinsic value is fully reflected in our corporate valuation.
